1. Introduction & Operating Scope

1.1 Overview

These Terms of Use govern your access to and use of FLOF’s digital platform, mobile features, online grocery commerce, and café operations.

1.2 Target Audience & Region

FLOF operates a hard-discount grocery commerce platform and café operations designed specifically for tertiary institution communities in Nigeria. Accessing our platform outside of supported delivery zones is done at your own risk. The customer shall bear the cost of either getting the item from our pick-up point or sending a delivery.

1.3 Age & Capacity

By using the Site, you affirm that you are of legal age to enter into a binding agreement or possess parental/guardian consent.

2. User Accounts & Security

2.1 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and security PIN. FLOF is not liable for losses resulting from unauthorized account access.

2.2 Access Controls

FLOF reserves the right to restrict, suspend, or terminate access to any account, feature, or the entire platform at its absolute discretion with prior notice.

2.3 Unauthorized Use

You must not use another person’s user credentials without their express, verified permission.

3. Product Availability, Pricing, & No-Substitution Policy

3.1 Hard Discount Availability

Products displayed on the Site are offered strictly while stocks last. Prices shown online serve as a guide; the final price payable is the figure calculated at checkout.

3.2 Strict No-Substitution Policy

FLOF operates a hard discount model and does not offer product substitutions. If an item is out of stock at the time of fulfillment, no alternative product will be provided, and your order balance will be adjusted or refunded accordingly.

3.3 Fair Purchase Limits

FLOF reserves the right to limit the quantity of items purchased per customer, household, or order. Purchasing products for commercial reselling is strictly prohibited.

4. Ordering & Payments

4.1 Billing Accuracy

You represent and warrant that all payment details provided to FLOF are accurate and complete.

4.2 Order Acceptance

Receipt of an electronic order receipt or confirmation does not constitute FLOF's final acceptance of an order. FLOF reserves the right to cancel orders due to pricing errors, stock shortages, or suspected fraud. If an order is canceled post-billing, a refund will be processed promptly.

4.3 Order Cancellation Windows:

• Same-Day Immediate Delivery: Customer cancellations are strictly permitted only within 15 minutes following order confirmation. After 15 minutes, the order is locked for picking and delivery and cannot be canceled.
• Scheduled Delivery: Customer cancellations are permitted within 12 hours of placing the order. Cancellation requests made after 12 hours from placement will not be accepted. A scheduled delivery will be more than 24 hours from the time of order confirmation.

4.4 Refund Processing Timeline

In the event of an eligible order cancellation or refund authorization, funds will be processed and returned to the original payment method within 7 to 14 working days.

5. FLOF Wallet (In-Store Closed Wallet)

5.1 Nature & Limitations

FLOF Wallet is an in-store digital wallet feature built into the platform strictly for campus and in-store transactions. The wallet operates entirely as a closed reward tracking system; it does not support user funding, deposits, cash-ins, or external withdrawals.

5.2 Balance Accrual

Balances within FLOF Wallet are earned solely through qualifying purchases, official promotional rewards, or specific store campaigns (such as the FLOFStar campaign). Users cannot deposit money into FLOF Wallet through bank transfers, payment cards, or any other funding method.

5.3 Usage Restrictions

Balances held within FLOF Wallet can only be redeemed for qualifying grocery purchases. Wallet balances cannot be exchanged for physical cash, transferred to other users, or used to purchase external third-party services.

5.4 Legal Status

FLOF Wallet balances do not accrue interest, are not segregated from FLOF’s general corporate funds, and do not constitute a bank deposit or electronic money product. In the unlikely event of platform insolvency, unredeemed wallet balances may be forfeited.

5.5 Fraud & Deactivation

FLOF reserves the right to freeze, deduct, or cancel wallet balances if system manipulation, unauthorized activity, or abuse is detected.

5.6 Balance Expiration

Balances held within FLOF Wallet are subject to expiration. FLOF reserves the absolute right, at its sole discretion, to establish, modify, or enforce expiration timelines for promotional rewards, campaign credits, or accrued wallet balances. Any unredeemed balances exceeding the applicable expiration period shall be automatically forfeited without prior liability or obligation to FLOF.

6. Campus Delivery

6.1 Delivery Boundaries

Deliveries will be made strictly to designated campus addresses, pickup points, or student residential zones within authorized university communities.

6.2 Risk of Loss

Title to items and risk of loss pass to you upon successful physical delivery or drop-off at the designated location. Estimated delivery times provided at checkout are targets and not rigid guarantees.

7. Intellectual Property & Acceptable Use

7.1 Platform Ownership

All materials, logos, content, and software on the Site are owned by or licensed to FLOF and are protected by applicable intellectual property laws.

7.2 Prohibited Activities

You agree not to:

• Scrape, data-mine, or harvest information from the platform using automated tools without written consent.
• Introduce viruses, malware, or malicious software into the system.
• Use the platform for fraudulent, deceptive, or unauthorized commercial purposes.

8. AI-Generated Content Notice

8.1 Informational AI Use

While FLOF does not run customer-facing chatbots or interactive generative AI features, certain informational descriptions, marketing graphics, or platform texts may be produced using artificial intelligence tools.

8.2 Disclaimer

AI-generated materials are provided "as-is" for reference only. FLOF makes no guarantees regarding the absolute completeness or error-free nature of AI-generated content.

9. Disclaimers & Limitation of Liability

9.1 "As Is" Provision

The Site and all products, services, and content are provided on an "as is" and "as available" basis without express or implied warranties of any kind.

9.2 Liability Cap

To the fullest extent permitted by law, FLOF shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of, or inability to use, the platform or services.

10. Governing Law & Dispute Resolution

10.1 Jurisdiction

These Terms of Use shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria.

10.2 Dispute Resolution

Any dispute, claim, or legal issue arising out of these Terms shall be resolved through binding arbitration or competent courts within Nigeria on an individual basis, waiving rights to class-action litigation.
